Editorial Review

Buffett, the Bard of Omaha, is a genuine American folk hero, if folk heroes are allowed to build fortunes worth upward of $15 billion. He's great at homespun metaphor, but behind those catchy phrases is a reservoir of financial acumen that's generally considered the best of his generation. For example, in an essay on CEO stock options, he writes, "Negotiating with one's self seldom produces a barroom brawl." This is his way of saying that an executive who can give himself compensation totally disproportionate to his performance surely will. There are uncountable gems of financial wisdom to be harvested from these essays, taken from the annual reports he writes for Berkshire Hathaway, his holding company. Just to pick one more, here's a now-famous line about those he competes with when making stock-market investments: "What could be more advantageous in an intellectual contest--whether it be chess, bridge, or stock selection--than to have opponents who have been taught that thinking is a waste of energy?"Read more

This excellent book was hard to put down.Mr. Buffett is as innately talented a writer as he is a businessman.The bookfunny, entertaining and highly informative, is sure to add significantly to the knowledge of any aspiring investor.Buffett takes topics like corporate accounting malfeasance and makes you laugh at them while at the same time providing profound insight into the inner workings of the corporate enviornment.This title is definatly one you will want to own.

For books like this to work, they have to have both an engaging storyline and real-world characters.This book has both, and I found myself re-learning a lot about dealing with change, managing difficult people, and understanding how different types of people have different styles of working.The group discussion questions in the back are particularly useful.I will probably suggest that my whole department get copies and read it together.There are some on my team who need a little coaching, and this is a very non-threatening way to deal with difficult issues.Great job!

Well, maybe it didn't exactly change my life, but it gave my law firm a new direction. My firm specializes in strategic transactions - initial public offerings, private placements, mergers & acquisitions - but we had steered clear of reverse mergers because of the uncertainty and confusion. Feldman and Dresner cleared up that confusion we now offer reverse mergers as part of our services.

The Q&A approach adopted in this book is very useful.It would provide for a very useful reference manual on M&A if its content were not so dated.Its discussion of taxes, accounting, and deal structures does not reflect recent changes in rules and M&A practices.It would be helpful if the author would update the material. Other more current and more comprehensive books on the subject that I have found useful include Mergers, Acquisitions, and Other Restructuring activities by Depamphilis and Bruner's M&A book.

This is one of the best books I have read to date on Valuation.It spanks various methodologies and speaks to their differences.It goes into the detail and stays there to provide the depth necessary to get a intuative understanding.WARNING:not for those who do not like math.You can follow the derivations and I found it very good practice and reinforcement to learning the concepts.

Overall, the book covers relevant M&A material but it's difficult to read. Coming from a finance background, I was looking for a reference book to be used at work. There are other books that are more user-friendly. Recommendation: get Applied Mergers & Acquisitions from Wiley Finance instead; same topics but a pleasure to read.

As an M&A finance practitioner, I am torn between giving this book a 3-star or 4-star rating.As many reviewers have noted, this is structured to be a reference book.There is more math than is typically needed or used in most small or medium-sized transactions, and there is very little introductory material for the uninitiated to get their bearings.Instead, the books delves straight into valuation exercises that are at times even more difficult than what I have encountered in the profession.The examples, while numerous and varied, are often reviewed much too quickly, and occasionally with so many permutations and small digressions that it is difficult to keep track of the purpose of the original endeavor.And as good students know, it is very hard to remember how to do something when you do not know *why* you are doing it. As such, it is difficult to recommend this book with much enthusiasm to anyone who does not at least have a few transactions under their belt because as a general guide it does not at all do the trick.

I think this book is very effective! Once you by pass all the gramatical errors, then you will be in driver's seat on this subject. A good book worth reading by anyone who is or plans to be a small business owner. I take my hat off to the author for making such a complicated subject easy to follow within the covers of such a small book.

Although the price is steep for such a small book, and the book is full of grammatical errors, the information is invaluable.The book seems to have not been proof read prior to publishing.However, the author knows his subject and I have already used some of the information in the book on two business deals.One passage especially, on valuing (discounting) a minority partnership interest saved my organization several million dollars.They had planned to pay "pro rata" to buy a minority stake in a company.I was able to demonstrate why that was not a good idea because of the way the partnership was structured.They are now successfully negotiating at a discounted price.I highly recommend this book and agree with another review which states that you can find lengthier books on business valuation, but this one cuts right to the main points. In fact I bought three other books on valuation, one is over 1,000 pages but "Unlocking the Value of Your Business" is the book I find myself referencing everyday.Maybe that is why I could not find a used copy at a cheaper price, everyone holds on to their book!

I have several books on this subject, and this one is probably my favorite.I've done many, many valuations and found that the more esoteric books on the topic don't seem to produce better results than the "tried and true" methods in this manual.There are also quite a few books, aimed at the layman, that oversimplify the subject - but there's no danger of that here.You will find this book both very accessible and technically complete.Highly, highly recommended. ... There are some serious amounts of money involved and some very amusing characters - It almost reads like a comedy when detailing the exploits and excess of the chairman of RJR Nabisco with his fleet of company jets and "superstar" cronies.

Having been a manager at a large company, I can see how this book would be beneficial for managers at large companies that are doing acquisitions. But from the perspective of a manager at a smaller company that is being acquired, this book was not particularly helpful.

Galpin and Mark Herndon clearly have vast experience and draw on case studies to illustrate their suggestions. They provide sample surveys and integration flow charts to guide hands-on planning, and offer practical advice that you can apply in real-world situations. Not all of these ideas are new, nor do the authors claim them to be. Instead, they apply the most relevant ideas from management and psychology to M&A. The authors hammer home an extremely consistent message: You must communicate. They present their ideas clearly, even though the book is often wordy and uses a lot of passive voice (alas, business prose). Nonetheless, this is actually a very dense book and the authors are careful not to waste the reader's time. The subject of this book is quite interesting and the knowledgable authors add many insights into the field of Mergers and Aquisitions.However, the book is poorly written and designed.Simply opening the book will show colorless pages and bland figures that perfectly reflect the tone and content within.There is also a surprising number of spelling mistakes and grammatical errors (something I should not expect if I'm paying over $100 for a book).

The fourth edition came out in 2003 and I am not familiar with earlier editions.In my view, this is a very good text.In its nearly 700 pages, it provides a solid and comprehensive overview of this interesting and important topic.Obviously, no textbook can be both a survey of the topic and provide complete coverage of every topic.This book goes deep enough that students being introduced to this topic will find plenty to work on and get enough information to develop a feel for all that is involved in changing corporate control and ownership structure for any number of reasons.

Considering the reputation of the primary author, I found the book to be ponderous to read and seemingly focused more on what the authors wanted to discuss than what might be really useful to students and those practicing M&A.The authors should have sought a more appropriate balance between theory and practice. It seems to spend more time addressing societal issues and issues of government policy than addressing the mechanics of how to plan for and implement transactions. This is one of several paperbacks in the "Essentials" series, each of which offers "cutting edge" thinking on a major business subject. Mike Beer served as the adviser to Richard Luecke while he wrote this volume. Brief information about both is provided. There are seven chapters following an Introduction in which Luecke observes that "Accepting the necessity and inevitability of change enables [all companies and their decision-makers] to see times of transition not as threats but as opportunities -- opportunities for reinventing the company and its culture." I've noticed same comment made (almost word by word) to the previous book of Gladstone (Venture Capital Handbook) meaning that they're not reviews at all but sheer PR or advertisement to sell books. I didn't buy both of them.

Much updated from previous editions, David Gladstone's useful text provides a very cursory survey of deal and investment techniques, albeit for slightly later than "sexy" stage deals. However, as this book is designed for the novice, and as Lipper's text has fallen out of print, this sadly remains the only general text on VC investing for the inexperienced, and is useful in context of the level which it is designed to educate. While the many checklists may be somewhat annoying to seasoned VCs, they are probably indispensable to the novice investor, since they provide a summary framework when working through deal and business terms. And while the book is designed more for later stage (through certainly not LATE stage, as some have alluded to) deals, the book is, again, designed to educate the novice venture investor, who really shouldn't be doing high tech start-ups anyway. Irrespective of that, anyone who presumes to write a text on investing in high tech start ups would likely find his text applicable only for the next few months after printing. Ours is an industry that evolves very quickly, and changes rapidly in accordance to the latest trends. No one can teach you how to pick the winners in the trend that hasn't happened yet. Getting the basics from a text like Gladstone's, however, can give you the fundamentals on which to build that "knack".

This book is a thorough, practical guide to the nitty-gritty of venture capital investing. This comprehensive, well-organized instruction manual summarizes the homework you should do before you make a venture capital investment, the paperwork needed to carry out the investment and the ongoing work you will have to undertake to have a prayer of seeing your investment pay off. If it is a little plodding, you can understand why. It covers a lot of ground. The authors compare venture capital investing to a partnership at one point, to a marriage at another. They don't attempt to sell you on venture investing. In fact, by telling you how difficult and labor intensive it is, they may even drive you away. We believe this book definitely belongs in the library of anyone who has ever taken a serious interest in venture investing. It will also help entrepreneurs who need venture capital financing by showing them how to evaluate their companies according to the criteria that serious investors are apt to use. ... Read more

. . . to hanging around with a bunch of practicioners swapping war stories and advise/wisedom/opinion.As the other reviewer said, the advise is at times contradictory, which is exactly what you get from talking to the professionals who do this all the time.There are some thing which everyone agrees on, and much of the rest is personal style.

This book has a a few very informative articles/chapters. It virtually covers the entire M&A continuum from deal strategy through post merger integration. It has a fatal flaw however due to its format and that is a lack of consistency from one section to the next. By jumping from one author to another, the reader is subjected to guidance that is often contradicted or not considered a few chapters later by another author. That is why I prefer books offering guidance on the subject from a thoughtleader or practitioner who can walk me through the entire process from beginning to end. I am comforted knowing I am not being plied with theory that will be refuted 30 pages later. The book does include some very learned insights from previous authors of HBR articles, which most of us have read before but fails to include others such as Drs. Mark Feldman, Pat Gaughin, David Greenspan, Mark Clemente and Jac Fitz-Enz who are some of the finest minds and true heavyweights in the fields of culture, process, organizational development, and integration. I know because- as a Harvard alumna and corporate strategist for 20 years - I have worked as an employee alongside some of these M&A pioneers at such firms as AT&T, Lucent, IBM, and Citibank watching them give birth to the M&A scriptures. Each has penned their guidance in other less lofty titles which take the reader the whole way through the M&A experience while sharing successes, failures, theory, and case studies. This book is impressive to put on one's shelf and it does indeed have some very practical applications for today's corporate combinations. Yet the comprehensive guidance offered by these other authors eclipses the magazine-like compilation contained herein. It sorely misses their contributions. ... Read more

Feldman and Spratt advise lots of CEOs of large corporations as part of their work for PricewaterhouseCoopers (a mergerized mouthful if there ever was one), and those consulting habits show. The book is anecdotal and clever without being practical or useful, even if you're actually contemplating a merger. You will, however, learn the riddle of the five frogs on a log, which in the interest of saving time, we offer here: Five frogs are sitting on a log. Four decide to jump off. How many are left? Five. Because there's a difference between deciding and doing. "Execution," the authors tell us, "is always more difficult than it seems."

This book is an excellent view of the M&A process from a very different angle.Many books cover the mechanics of the process, but this one looks at the outcomes for human beings - our most important assets.I would recommend it highly.
